If you use buduss on behalf of a business, you represent that you are authorized to bind that business to these Terms.
02 - The service
What buduss provides
buduss is a software tool that helps creators turn a client inquiry into a branded proposal, contract and invoice, and enables their clients to sign and pay through a shared link. buduss provides formatting, document assembly, electronic-signature functionality, and payment facilitation through third parties.
buduss is a software tool, not a law firm. We do not provide legal advice, and using buduss does not create an attorney-client relationship. The documents buduss helps you create are starting points and templates that you are responsible for reviewing and adapting to your situation.
03 - Accounts
Accounts & security
You must be at least 18 years old to use buduss. You are responsible for the accuracy of your account information, for keeping your login credentials confidential, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We are not liable for losses caused by unauthorized use of your account where you failed to keep your credentials secure.
04 - Acceptable use
What you agree not to do
You agree not to:
- Use buduss for any unlawful, fraudulent, or deceptive purpose, or to create documents you know to be false or misleading.
- Infringe the intellectual property, privacy, or other rights of any person.
- Upload malicious code, attempt to disrupt or gain unauthorized access to the service, or probe its security.
- Reverse engineer, scrape, resell, or create derivative products from buduss or its templates and document formatting.
- Misrepresent your identity or use buduss to harass, threaten, or harm others.
05 - Your responsibility
You are the author
You are solely responsible for the content, accuracy, completeness, and legality of every document you create, customize, and send through buduss, and for ensuring it is appropriate for your jurisdiction, your client, and your engagement. buduss assembles and formats; you decide what to send and stand behind it.
Because buduss does not provide legal advice, you are responsible for obtaining independent legal review where appropriate - particularly for contract terms, pricing, and any clauses with legal effect.
06 - E-signatures
Electronic signatures
buduss enables electronic signatures intended to be valid and enforceable under the US federal ESIGN Act and applicable state UETA laws. By signing electronically, you and your clients agree that an electronic signature has the same legal effect as a handwritten one, and consent to do business electronically. buduss maintains an audit trail for signed documents. You are responsible for confirming that electronic signature is appropriate for a given document and jurisdiction.
07 - Payments
Two distinct kinds of payment
There are two separate payment relationships, and it's important to keep them distinct:
- Your subscription to buduss. Fees for paid plans are billed in advance on a recurring basis and are non-refundable except where required by law. You authorize us to charge your payment method until you cancel. We may change subscription pricing with notice; changes apply to subsequent billing periods.
- Your clients' payments to you. When a client pays you through buduss, the payment is processed by a third-party payment processor and flows from your client to you. buduss is not a party to that transaction, does not act as a merchant of record for it, and is not responsible for the underlying goods or services, refunds, chargebacks, or disputes between you and your client. The processor's terms and fees apply to those payments.
08 - Your content
Your content & ownership
You retain ownership of the content you create and the client information you enter ("Your Content"). You grant buduss a limited, non-exclusive license to host, process, and display Your Content solely to operate and improve the service and to provide it to you and your clients. You represent that you have the rights necessary to submit Your Content and that it does not violate these Terms or any law. You may export Your Content, including your clients and signed contracts, as the product allows.
09 - Our IP
buduss's intellectual property
The buduss platform, software, templates, document formatting, designs, branding, and all related intellectual property are owned by [Legal entity name] and protected by law. Except for the rights expressly granted to you to use the service, no rights are transferred. You may not copy, export, resell, redistribute, or create derivative works from buduss's templates, document formatting, or platform. Documents you generate for your own clients are yours to use in your business; the underlying templates and formatting remain ours.
10 - Disclaimers
Provided "as is"
buduss is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any document, clause, or template is legally sufficient or suitable for your needs. You use buduss at your own discretion and risk.
11 - Liability
Limitation of liability
To the maximum extent permitted by law, buduss and its owners, employees and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to your use of (or inability to use) the service - even if advised of the possibility. Our total aggregate liability for any claim arising out of these Terms or the service will not exceed the amount you paid us for the service in the twelve months preceding the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
12 - Indemnification
You stand behind your use
You agree to indemnify and hold harmless buduss and its owners, employees and suppliers from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: the documents you create and send; your breach of these Terms; your violation of any law or third-party right; or any dispute between you and your clients.
13 - Termination
Suspension & termination
You may stop using buduss and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or for prolonged inactivity, with notice where reasonable. On termination, your right to use the service ends; provisions that by their nature should survive - including ownership, disclaimers, liability limits, and indemnification - will survive. We will provide a reasonable opportunity to export Your Content where feasible.
14 - Governing law
Which law applies
These Terms are governed by the laws of [Governing state], without regard to its conflict-of-laws rules. The courts located in [Governing state] will have jurisdiction over disputes arising from these Terms, except where applicable law provides otherwise.
15 - Changes
